Once an LLC is set up it’s existence is generally perpetual, unless the LLC is dissolved pursuant to Section 705 of the New York State Limited Liability Company Law. Shutting down an LLC may become necessary for many reasons, and if the LLC is no longer in business it’s usually a good idea to terminate the LLC’s existence to avoid potential business liabilities and unnecessary entity maintenance fees.
